Software Licenses
All eRoom software, including software which may be
downloaded from this site and html code generated by eRoom,
is copyrighted material owned by eRoom Technology or its
suppliers which is licensed, not sold, to end users under
terms of an eRoom Technology License Agreement which accompanies
each software product. eRoom Technology currently has three
License Agreements: the eRoom Server/Client Agreement, the
eRoom Client Agreement, and the eRoom API Agreement. During
the software installation process, you will be given the
opportunity to read the License Agreement for the software
you are installing, and you will be asked to accept its
terms. If you cannot do so, then you may not complete the
installation process, and you may return the software to
eRoom Technology or the vendor from whom you got it for
a refund of the fees, if any, paid for the software. eRoom
beta software is licensed under terms of applicable eRoom
beta license agreements.
The License Agreements contain important information about
the product's limited warranty (or no warranty), your remedies
for non-conforming software; and about eRoom Technology's
limited liability. We encourage you to read the applicable
License Agreement prior to ordering or installing any of
our software products.
Maintenance
eRoom user and server licenses may be covered by
Maintenance, which is purchased in annual increments
under the terms of eRoom Technology's Maintenance
and Services Agreement, and you are deemed to agree
to such terms upon your purchase of Maintenance. eRoom
Maintenance includes upgrades and technical support
during normal business hours, and the Maintenance and
Services Agreement contains information about eRoom
Technology's and your Maintenance related rights and
obligations.
Services
From time to time, eRoom Technology may offer various
service offerings designed to assist customers with
installation, customization, rapid adoption and best
use of eRoom. All Services are provided under the terms
of eRoom Technology�s Maintenance
and Services Agreement. A complete description
of available Services, including eRoom Technology�s
ePack Services, can be obtained by contacting your eRoom
Technology sales representative or sending a request
to [email protected].
All Services must be scheduled within three months of
your Services order. On-site training will be scheduled
based on customer requirements and trainer availability.
The customer may reschedule on site training provided
the customer will pay eRoom Technology for any expenses
incurred due to rescheduling. The Technical Services
and Best Practices training days must be scheduled within
three months of the customer's ePack order. The customer
will provide equipment required for delivery of on site
training. The customer will be invoiced for ePack Services
upon shipment of associated software product, and there
will be no refunds made on account of the Services,
including if the customer cancels or chooses not to
schedule the Services.
Standard Commercial Terms
Unless otherwise agreed in writing by eRoom Technology,
full payment for non-credit card orders is due 30 days
from the invoice date in US currency. Late charges of
1.5%, or the maximum allowable by law, may be applied
to late payments. Tangible products are shipped FOB
eRoom Technology's facility. All software products are
licensed under the applicable License Agreement, all
Maintenance and Services are sold under the Maintenance
and Services Agreement, and all ePack Services are sold
under ePack terms, all of which can be viewed above.
There will be no cancellation of software product orders
after shipment of software, and no cancellation of Maintenance
Services after commencement of Maintenance Services
except as expressly allowed by the License Agreement
or the Maintenance and Services Agreement. There will
be no cancellations of ePack Services.
Your Rights to Copy Information on This
Site
You have our permission to print and use copies
of the Documents at this Web site such as white papers,
FAQs, knowledgebase documents, license agreements provided
that: (i) all of the copyright notices appearing on
such documents are included on all your copies, (ii)
if a document does not contain the an eRoom Technology
copyright notice below, then you will put the notice
appearing below on your copy of the document, and (iii)
your use of such information is limited to personal
use, and documents will not be posted or broadcast on
